Terms of Sale
These terms apply to every order for goods placed with S Henry Ltd, whether through this website, by email, by purchase order or through a trade account. Part A applies to all customers. Part B applies only to business customers. Part C applies only to consumers. Please read them before you order, and keep a copy for your records.
Part A: All customers
1. Who we are
We are S Henry Ltd, trading as S.HENRY, a company registered in England and Wales under company number 16904401. Our registered office is 19 Gilded Way, Kirkby, Merseyside, L32 4AJ, United Kingdom. Our VAT number is GB 525 2841 96.
You can contact us by email at sales@shenryworkwear.com or by telephone on +44 7398 766874. If we need to contact you, we will use the details you gave us with your order.
2. Words we use
- Business customer means anyone buying for purposes relating to their trade, business, craft or profession, including employers buying for their workforce and resellers.
- Consumer means an individual buying wholly or mainly for purposes outside their trade, business, craft or profession.
- Contract means the contract between you and us for the supply of goods, made up of these terms and our order confirmation.
- Goods means the garments and any other products described in our order confirmation.
- Trade account means a credit account we have approved in writing for a business customer.
- In writing includes email.
3. Our garments and certification
Our garments are personal protective equipment (PPE). Each fabric used in the S.HENRY range is certified at fabric level. Each finished garment then goes through its own garment certification. We will not supply any garment until its garment certification is complete and its certificate has been issued.
While a garment is shown as “Available upon certification”, you can register your interest or make a trade enquiry, but you cannot place an order for it. Certified garments are supplied with the user information and declaration of conformity required by law.
Unless we say otherwise, technical figures on our website and in our literature are fabric test data, not results for the finished garment. Garment-level results are published once garment certification is complete.
Product images are for illustration. Colours on screen can differ from the garment, and sizes are approximate. We may make minor changes to a specification where they do not reduce the protection, compliance or performance of the goods, or where the change is required by law or by the certification of the garment.
4. Placing an order and when the contract is made
Your order is an offer to buy. The contract is formed only when we accept your order by sending an order confirmation in writing, or when we dispatch the goods, whichever happens first. We may decline an order, for example if a garment is not yet certified, if stock is unavailable, or if there is an error in the price or description. If we decline your order after taking payment, we will refund you in full.
Written quotations are valid for 28 days from their date unless the quotation says otherwise, and may be withdrawn before you accept them.
5. Prices and VAT
Prices on this website are shown in pounds sterling and exclude VAT. VAT is added at the applicable rate at checkout or on your invoice. Delivery charges are shown at checkout or on your quotation before you commit to buy.
Volume, framework and trade pricing is available by written quotation. If we discover an error in the price of goods you have ordered, we will contact you to ask whether you wish to continue at the correct price or cancel.
6. Payment
Orders placed through this website are paid in full at checkout using the payment methods shown. Trade account orders are paid in accordance with Part B. We do not store your full card details; card payments are processed by our payment providers.
7. Delivery
Delivery is described in our Delivery Policy, which forms part of these terms. Goods are at your risk from the time they are delivered to the address you gave us.
8. Choosing, wearing and caring for PPE
You are responsible for choosing PPE that is suitable for the hazards identified in your own risk assessment, including making sure that any arc rating meets or exceeds the incident energy you have assessed. Employers remain responsible for their duties under the Personal Protective Equipment at Work Regulations 1992, as amended.
Garments must be worn, inspected, cleaned, stored and repaired in line with the user information supplied with them and our PPE and Product Information. Alterations, repairs, embroidery, printing or badges that are not approved by us in writing may reduce protection and may invalidate the garment's compliance and our warranty.
9. Intellectual property
The S.HENRY name, logo, designs, photography and website content belong to us or our licensors. You may not use them without our written permission.
10. Your personal data
We use your personal data as described in our Privacy Policy.
11. Events outside our control
We are not responsible for delay or failure to perform caused by events outside our reasonable control, such as extreme weather, fire, flood, pandemic, war, industrial action, failure of a supplier or carrier, or delays in testing or certification. If such an event affects your order, we will tell you as soon as possible and do what we reasonably can to reduce the delay. If the delay is likely to be substantial, either of us may cancel the affected part of the order and we will refund any payment for goods not supplied.
12. Complaints
If you are unhappy with anything we have supplied, please email sales@shenryworkwear.com with your order number and the details of the problem. We will acknowledge your complaint within five working days and aim to give you a full response within 14 days.
13. General
- These terms, together with our order confirmation, are the whole agreement between us about the goods.
- If a court decides that any part of these terms is invalid, the rest will continue to apply.
- If we do not enforce a right straight away, we can still enforce it later.
- Nobody other than you and us has any right to enforce these terms.
- You may not transfer your rights under the contract without our written consent.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
Part B: Business customers
14. When Part B applies
Part B applies if you buy as a business customer. It applies in addition to Part A and takes priority if there is any conflict. These terms apply instead of any terms you put forward, including terms on a purchase order, unless a director of S Henry Ltd agrees otherwise in writing.
15. Trade accounts and payment
- Trade accounts are offered at our discretion, subject to credit checks, and can be reviewed, limited or withdrawn at any time.
- Unless we agree otherwise in writing, invoices on a trade account are payable within 30 days of the invoice date. Time for payment is of the essence.
- You must pay in full without any deduction or set-off.
- If you pay late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and we may suspend further deliveries until your account is up to date.
16. Delivery, shortfalls and damage
- Delivery dates are estimates. Time of delivery is not of the essence, and a delay does not entitle you to cancel or to claim damages, but we will keep you informed.
- Please check deliveries on arrival. Shortfalls, damage or incorrect goods must be reported to us in writing within seven working days of delivery. Where goods are missing or damaged in transit, our liability is limited to delivering the missing goods or replacing the damaged goods, or issuing a credit for them.
- If you fail to accept delivery, we may charge you for storage and redelivery.
17. Ownership
Risk passes to you on delivery. Ownership of the goods does not pass to you until we have received payment in full for them and for any other sums you owe us. Until then you must store the goods so they can be identified as ours, keep them insured, and allow us to recover them if payment is overdue or you become insolvent.
18. Returns
Business customers have no automatic right to return goods that are not faulty. We may agree to a return at our discretion if:
- you ask us in writing within 14 days of delivery and we issue a returns authorisation number;
- the goods are unworn, unwashed, unaltered and unbranded, with their original labels and packaging, and in a condition we can resell;
- the goods reach us within 21 days of our authorisation, at your cost.
We may apply a restocking charge of up to 20% of the price of returned goods. Goods made, branded, altered or ordered to your specification cannot be returned unless they are faulty.
19. Faulty goods
We warrant that on delivery the goods will conform to their specification and be free from material defects in materials and workmanship. If you believe goods are defective, you must tell us in writing within 14 working days of discovering the defect, stop issuing the affected goods, and give us a reasonable opportunity to examine them. If the goods are defective, we will repair or replace them or refund the price, at our option.
This warranty does not cover fair wear and tear, damage caused by misuse, accident or contamination, failure to follow the user information, care instructions or good trade practice, or alterations, repairs or branding not approved by us in writing.
20. Our liability to business customers
- Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, for liability under the Consumer Protection Act 1987, for breach of the terms implied by section 12 of the Sale of Goods Act 1979, or for any other liability that cannot be limited or excluded by law.
- Subject to that, we are not liable for loss of profit, revenue, business, contracts or goodwill, for production downtime, or for any indirect or consequential loss.
- Subject to that, our total liability arising out of or in connection with a contract is limited to the price of the goods supplied under that contract.
- Except as set out in clause 19, the terms implied by sections 13 to 15 of the Sale of Goods Act 1979 are excluded to the extent the law allows.
21. Traceability, safety notices and recalls
Where you issue our garments to your workforce or supply them to others, please keep records that allow you to identify which garments, sizes and batches went to whom. If we issue a safety notice or recall, you agree to co-operate with us and pass the information on promptly. Please tell us straight away if you become aware of any defect or safety concern in our goods.
22. Branding and customisation
Logos, embroidery, printing and badges can affect flame resistance, arc performance and high-visibility compliance. We will only apply branding using processes and materials we have approved for the garment. You confirm that you have the right to use any logo or artwork you send us, and you will indemnify us against any claim that it infringes another person's rights.
Part C: Consumers
23. When Part C applies
Part C applies if you buy as a consumer. It applies in addition to Part A. Nothing in these terms affects your legal rights as a consumer.
24. Your right to change your mind
For most goods bought online you have 14 days, starting on the day after you receive the goods, to cancel the contract without giving a reason. To cancel, email sales@shenryworkwear.com with your name, order number and the goods you are returning, or use any other clear statement.
- You must send the goods back within 14 days of telling us you wish to cancel. Unless the goods are faulty or not as described, you pay the cost of returning them.
- We will refund the price and the standard delivery charge within 14 days of receiving the goods back, or of you providing evidence that you have sent them, using the payment method you used.
- Please only handle the goods as you would in a shop. We may reduce your refund to reflect any reduction in value caused by handling beyond what is necessary to establish their nature, characteristics and fit, for example if a garment has been worn on site or washed.
- The right to cancel does not apply to goods made to your specifications or clearly personalised, such as garments embroidered or printed with your name or logo.
25. If goods are faulty
Under the Consumer Rights Act 2015, goods must be as described, fit for purpose and of satisfactory quality. If they are not, you are entitled to a refund if you reject them within 30 days of delivery. After that, you are entitled to a repair or replacement and, if that does not fix the problem, to a price reduction or refund. You may have further remedies for up to six years. Please contact us as soon as you notice a problem.
26. Our liability to consumers
If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or our failure to use reasonable care and skill. We are not responsible for loss that is not foreseeable, or for business losses. We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for breach of your legal rights in relation to the goods.
